LLC vs Sole Proprietor in Russia
A founder starting business in Russia usually chooses between two forms: a limited liability company (OOO) and registration as an individual entrepreneur (IP). The IP is simpler and cheaper to run, but the owner answers for debts with personal property. The OOO shields personal assets in ordinary cases and can be sold or shared with partners, at the price of more paperwork.
Attorney Elena Petrova advises foreign founders, including clients based in California, on which form fits their plans. Here is how the two compare on the points founders ask about first.
Personal Liability for Business Debts
An individual entrepreneur is not a separate legal person. Creditors of the business can claim the owner's savings, car and real estate, except property protected from enforcement, such as a sole dwelling in most cases.
LLC members risk only their contribution to the charter capital, which can be as low as ten thousand roubles. The shield has limits. In bankruptcy, directors and controlling persons may face subsidiary liability if their actions led to insolvency or they failed to file for bankruptcy on time. Tax authorities also pursue controlling persons for unpaid company taxes.
Taxation of Each Form
Both forms can use the general tax regime or the simplified system with tax on revenue or on revenue minus expenses. Only an IP may use the patent system for listed activities.
The key difference is how the owner receives money. An IP takes profit from the business account at any time without extra tax. An LLC pays profit to members as dividends, which are subject to personal income tax. An IP also pays fixed insurance contributions for themselves, even in a year without revenue. Tax thresholds and VAT rules for the simplified system were revised from 2025, so the numbers should be checked for your projected turnover.
Registration and Administration
| Point | OOO (LLC) | IP (sole proprietor) |
|---|---|---|
| Founders | One or more persons or companies, foreigners allowed | One individual only |
| Registration documents | Charter, founding decision, application | Application and passport |
| Bookkeeping | Full accounting and annual financial statements | Tax ledger only, no financial statements |
| Sale of business | Share sale through a notary | Not possible as such |
Decisions of LLC members must be certified by a notary or by another method set in the charter. A director must be appointed, and the company answers to the tax office for the director's filings.
Banking and Money Movement
Both forms need a business bank account. Banks run anti-money-laundering checks and ask about the source of funds, the planned activity and counterparties. Foreign founders should expect detailed questions and possible delays.
For an LLC, withdrawing cash without a documented basis is treated as a breach and may trigger tax claims. An IP can move profit to a personal account, but should keep business and private spending clearly separated.
Rules for Foreign Citizens
A foreign national can register as an IP only with a place of residence registered in Russia, which in practice means a temporary residence permit or a residence permit. An LLC can be founded by a foreigner or a foreign company without such status. The director of an LLC who is a foreigner needs a work permit or a status allowing work.
Activities Open to Only One Form
Some businesses are closed to individual entrepreneurs. Retail sale of spirits, banking, insurance and several licensed activities require a company. An IP, on the other hand, can move to the professional income tax regime if the activity and income fit its limits.
Choosing and Changing the Form Later
A freelancer or small trader working alone usually starts as an IP. A business with partners, investors, employees or large contracts is better placed in an LLC. Changing the form later is possible, but contracts, licences and bank accounts must be reissued, so the choice is worth making carefully at the outset.
