Settlement Agreements in Russian Courts
A settlement agreement, or mirovoe soglashenie, is a written deal between the parties to a lawsuit that ends the case on terms they choose themselves. It takes legal effect only after the court approves it by a ruling. Once approved, it has the same force as a judgment: the case is closed, the same claim cannot be filed again, and unpaid amounts can be collected through bailiffs.
Both the Civil Procedure Code and the Arbitrazh Procedure Code regulate settlement, and it is available in family, property, contract and commercial disputes.
What a Mirovoe Soglashenie Is
Unlike an out-of-court deal, a court settlement is part of the proceedings. The parties sign one document, submit it to the judge and ask for approval. A private agreement reached outside court does not stop the case by itself; the claimant would have to withdraw the claim.
Settlement is possible at any stage: first instance, appeal, cassation and even during enforcement of a judgment. The parties may reach it on their own, through negotiations between lawyers or with the help of a mediator.
Court Approval Step by Step
The signed agreement is filed with the court, usually with a joint motion for approval. The judge holds a hearing, checks that the parties understand the consequences and verifies the representatives' powers of attorney, which must expressly authorise settlement.
The court refuses approval if the terms contradict the law or violate the rights of third parties. It cannot change the wording itself. If there are defects, the parties may correct the text and resubmit it.
Terms the Agreement Should Contain
The text must be specific enough to enforce. Vague promises such as "to settle accounts later" create new disputes.
| Element | What to state | Common mistake |
|---|---|---|
| Amount | Exact sum and currency | Figure without currency or basis |
| Schedule | Dates of each payment | "As soon as possible" |
| Property | Address, cadastral number | Description without identifiers |
| Costs | Who bears legal fees | Silence on costs |
The agreement may include terms beyond the original claim, such as transfer of a car instead of money or waiver of other mutual claims, if they are related to the dispute.
Enforcement When a Party Defaults
If the other side does not perform voluntarily, the court issues a writ of execution at the request of the creditor. The writ is presented to the bailiffs or directly to the debtor's bank.
It is not possible to return to the original claim after approval. Enforcement is limited to what the agreement itself says, so each obligation must be clearly measurable.
Limits on What the Parties Can Agree
Some disputes leave little room for a deal. In family cases the court checks that the terms respect the interests of minor children. In bankruptcy, a settlement follows special rules and needs the support of creditors.
An agreement also cannot bind a person who did not sign it, such as a co-owner of the property or a guarantor. If such persons are affected, they must join the agreement or it will be refused.
Money Returned to the Claimant
Settlement also brings a refund of part of the state fee. Under the Tax Code, the claimant gets back 70 percent of the fee if the settlement is reached at first instance, 50 percent on appeal and 30 percent in cassation.
This refund is often a practical argument for settling early rather than waiting for the appeal.
Strategy for Negotiating a Settlement
Before signing, compare the proposal with a realistic forecast of the case: the strength of the evidence, the duration of appeals and the chances of actually collecting a judgment. A smaller sum paid on a fixed schedule may be worth more than a larger award against a debtor with no assets.
For parties abroad, the agreement can be signed through a representative with a notarised and apostilled power of attorney. Attorney Elena Petrova negotiates terms, drafts the text in Russian with an English translation for the client and handles court approval.
