Loans Between Individuals in Russia: Receipts, Written Form and Proof
A loan between private persons in Russia must be in writing if the amount exceeds ten thousand rubles, and a loan from a legal entity must be in writing whatever the amount. Article 808 of the Civil Code sets both rules, and it adds that a receipt from the borrower, or another document confirming that the lender handed over a specific sum, proves the contract and its terms. A missing form does not make the loan void, but a party then cannot rely on witness testimony to prove it.
Most disputes between lenders and borrowers turn on what the papers say. A receipt that does not say "loan", a bank transfer with no purpose or a promise in a messenger can all fail in court. This guide explains what a safe loan document contains, how a receipt differs from a contract, how transfers and messages are used as proof and how a lender who lives abroad protects his claim.
The Written Form Rule
Article 808(1) draws two lines. Between citizens, the contract must be written when the sum exceeds ten thousand rubles. If the lender is a legal entity, writing is required regardless of the sum. A contract below the threshold may be oral, but its proof is then harder.
The writing can be a single signed contract or another way of concluding it that the Code allows, for example an offer to lend accepted by the transfer of the money. The commentary also notes that for loans of things defined by generic features, the sum is read as the value of the things.
Failure to observe the form does not void the loan. The consequence lies in the evidence: under the general rule on simple written form, a party cannot refer to witnesses to prove the transaction or its terms, but may use written and other evidence.
Receipt Versus Contract
A receipt is a short document in which the borrower confirms that he received money. Under Article 808(2) it proves the contract and its terms, provided it shows that the lender transferred a specific sum or quantity of things. A receipt that says only "I owe" may leave the court uncertain whether the debt arose from a loan, a sale or another basis.
A safe receipt states the date and place, the full names of the parties with passport data, the sum in figures and words, the currency, the fact of receipt, the repayment date or the rule for determining it, interest if agreed and the borrower's signature. If the money was transferred by bank, the receipt should refer to the payment order.
A contract is better than a receipt because it can set interest, penalties, jurisdiction and the way to give notices. Both can be combined: a contract with a clause that the borrower confirms receipt of the money on signing.
| Document | What it proves | Weak point |
|---|---|---|
| Signed loan contract | Terms, interest, due date | Needs proof that money was actually handed over |
| Receipt of the borrower | Receipt of a specific sum | Silence about the terms |
| Bank transfer with the purpose "loan" | Transfer and purpose | Borrower may deny the loan basis |
| Messenger correspondence | Admission of debt | Authenticity of the account |
| Oral promise | Little | Witnesses are not accepted for the contract itself |
Bank Transfers and Messages
Many informal loans move by transfer from card to card. The statement shows the sender, the recipient, the date and the amount. If the purpose field is empty or says "gift", the recipient may argue that the money was a gift or a payment for something else.
Courts have taken different positions on whether a payment order that mentions a loan counts as written proof of the contract. The lender who relies on a transfer should add other evidence: messages in which the borrower acknowledges the debt, partial repayments or a later receipt.
Correspondence is accepted as evidence if it can be tied to the borrower and its content is clear. For a dispute of real size, the lender may ask a notary to record the messages. Other pages of this site discuss the preservation of online evidence.
Repayment Term and Demand
Article 810 requires the borrower to return the sum on the schedule fixed by the contract. If the contract fixes no term, or sets it as "on demand", the borrower must repay within thirty days from the lender's demand unless the contract provides otherwise. The demand is therefore the starting point of the debt's maturity.
The lender should send the demand in writing by a method that proves delivery. The borrower's thirty days begin from the date on which the demand is presented. After that period, the lender may sue and claim interest.
The debt is treated as repaid at the moment the money is handed to the lender, including the moment it reaches his bank account, unless the law or the contract provides otherwise.
Interest
A loan between individuals may carry interest if the contract says so. If there is no clause, the Code contains default rules on interest that depend on the type of lender, and those rules should be checked against the current text before the claim is calculated.
Where the contract fixes a rate, the court examines whether the rate is not obviously burdensome. Penalties for late return are a separate matter and can be reduced if disproportionate. The lender should therefore keep the claim realistic.
When the Lender or the Borrower Is Abroad
A lender abroad may transfer money to a Russian borrower, and the Russian rules on form and proof apply to a loan under Russian law. A foreign lender should sign the contract in Russian or with a translation and keep the bank record of the transfer from his own bank.
If the borrower is abroad and the loan is under Russian law, the lender files in the court that has jurisdiction under the contract or under the general rules, and a Russian representative handles the case. Service on a borrower abroad takes longer, as explained on another page.
Practical Checklist
Put the loan in writing even if the sum is small. Write "loan" in the transfer purpose. Obtain a receipt on the day of the transfer. Record the term of repayment and the interest. Keep the bank statement. Send a written demand if the term is "on demand". Keep proof of every partial repayment.
