Employment Disputes of Foreign Executives

A foreign executive working for a Russian company is protected by the Russian Labour Code, whatever the contract says about governing law. Dismissal without proper grounds or procedure can be challenged in a Russian court, but strict deadlines apply. A dismissal claim must usually be filed within one month of receiving the order.

Attorney Elena Petrova advises foreign managers and their families from California on disputes with Russian employers, including after the executive has left Russia.

What Makes an Executive Contract Different

The Labour Code contains a separate chapter on company heads. A general director is an employee, yet the company's owners can end the relationship more freely than with other staff. Board members and shareholders, by contrast, are usually not employees at all.

Foreign managers often hold a work permit as a highly qualified specialist. The permit is tied to the employer, so losing the job also affects the right to stay in Russia. Contracts drafted under English or US law are common, but mandatory Russian rules override them for work performed in Russia.

Grounds Used to End the Relationship

The owners may terminate a general director by decision, without stating a reason. In that case the law requires compensation of no less than three average monthly earnings, unless the manager was at fault.

Other grounds need proof: repeated breach of duties, a single gross breach, or an unjustified decision that caused damage to company property. Employers sometimes use these grounds to avoid paying compensation. Such dismissals are open to challenge if the evidence or procedure is weak.

Money You Can Claim

The executive's claims often go beyond reinstatement.

Statutory severanceLabour Code rules for company headsApplies to dismissal without cause

Moral damages are also available for unlawful dismissal. Their amount is set by the court.

Filing Deadlines That Cannot Be Missed

A claim for reinstatement must be filed within one month from receipt of the dismissal order or work record. Other individual labour disputes have a three-month limit from the day the employee learned of the violation. Claims for unpaid wages may be brought within one year from the due payment date.

Courts restore missed deadlines only for serious reasons, such as illness. Leaving Russia is rarely accepted as an excuse by itself.

Where and How Disputes Are Heard

Labour disputes go to general courts, starting with district courts. An employee may sue at his or her own place of residence as well as at the employer's address. Employees are exempt from court fees in labour claims.

Arbitration clauses in employment contracts are generally not enforced in Russia. A labour dispute commission at the company is optional.

Building a Strategy Before You Sign or Sue

Before signing a separation agreement, check that it covers compensation, bonuses, unused leave and the status of your work permit. A signed mutual termination is hard to challenge later.

If dismissal is already in progress, collect the company's decisions, correspondence and evidence of your performance. Keep copies outside the corporate system.

Remote Representation After Leaving Russia

You can pursue the claim from abroad through a representative with a notarised and apostilled power of attorney. Hearings can proceed without you, and some courts allow video links.

The main channel of communication with the attorney is email: attorneypetrova1@gmail.com.
