Repaying a Loan Early in Russia: What the Civil Code Allows

A borrower in Russia may repay an interest-free loan early, in whole or in part, unless the contract forbids it. Article 810 of the Civil Code sets this rule and adds a distinction for loans with interest: a citizen who borrowed for personal, family or household needs may repay early after giving the lender at least thirty days' notice, and in other cases, such as business loans, early repayment requires the lender's consent, which the contract can give in advance.

The topic matters to borrowers who receive money and want to cut the interest, and to lenders who rely on the interest income. This guide explains the notice rules, the difference between consumer and business borrowers, what counts as the moment of repayment, how partial repayments are applied and how the borrower should document the payment.

Interest-Free Loans

Article 810(2) allows early return of a loan without interest in full or in part. The lender cannot refuse the money on the ground that the term has not ended, unless the contract expressly forbids early repayment. A clause of this kind should be clear; a vague phrase may not be enough to prevent a borrower from paying.

The borrower should still inform the lender and ask for the bank details. A payment without notice may land on an account that the lender no longer uses, and the lender may argue that he never received it.

Interest-free loans between relatives or friends are common, and most disputes about them concern proof of the loan and of its repayment, not the right to repay early. The borrower should keep the receipt confirming the return of the money.

Interest-Bearing Loans to Citizens

For a loan with interest taken by a citizen for personal, family, household or similar needs not related to business, early repayment is allowed in whole or in part with prior notice of at least thirty days. The contract may set a shorter notice period. The notice states the amount and the date of the planned payment.

The lender has the right to receive interest up to the day of the repayment (Article 809(4)). After the early payment of the whole sum the contract ends. If only part is repaid, the contract continues and the schedule is recalculated according to the contract.

Courts view clauses that restrict a consumer's right to early repayment critically, as the commentary on the Article mentions. Fees for early repayment are a disputed area, and the outcome depends on the contract and on the specific legislation about consumer credit.

Business Loans and Loans to Organisations

For loans not covered by the citizen rule, such as a loan to a company or to an entrepreneur for business purposes, the Code requires the lender's consent to early repayment (last sentence of Article 810(2)). The consent can be given in the contract in advance, for example by a clause that allows early repayment on seven days' notice.

A borrower who plans to refinance should negotiate this clause at the signing stage. After signing, the lender is free to refuse, and the borrower must pay by the schedule.

The same logic applies to a loan between companies of the same group. If the group wants to repay intra-group debt early to optimise cash, the contract should allow it expressly.

The Moment of Repayment

Under Article 810(3) the loan is considered repaid when the money is handed to the lender, including the moment when the sum reaches the bank where the lender's account is held, unless the law or the contract provides otherwise. For a transfer between banks this means that the date of receipt by the lender's bank, not the date of the order, is decisive unless the contract sets another rule.

The borrower who pays on the last day should therefore send the money earlier. A delay by the bank of a day or two can produce a penalty, and the borrower then has to argue about the date.

If the lender refuses to accept proper performance, the borrower may deposit the money with a notary and the obligation is treated as performed. This route is used when the lender hides or when the bank details are disputed.

Partial Repayments

Partial repayments reduce the principal, and the contract determines the order in which payments are applied to the principal, interest and penalties. The Code contains a default order for payments that do not cover the whole debt, and the contract may change it in the limits allowed by law.

The borrower should state in the payment purpose which part of the debt he pays and keep the receipt. The lender should issue a written confirmation of each payment, with the balance of the debt after it.

A schedule that is recalculated after a partial payment may either shorten the term or reduce the monthly instalment. The contract must say which, otherwise the parties will argue.

Documents to Collect

The borrower keeps the contract, the notice of early repayment with proof of delivery, the payment orders, the lender's confirmation and a statement showing that the debt is closed. If the loan was secured by a pledge or a surety, the borrower asks for a written confirmation that the security is released.

For a loan from a foreign lender, the borrower should check whether the contract is governed by Russian law and whether the currency rules affect the transfer. Currency matters are treated on another page.

Disputes and Next Steps

If the lender refuses early repayment contrary to the rule, the borrower writes to him, pays into the account indicated in the contract and keeps the bank record. If the lender claims interest for the whole original term, the borrower may dispute it with the contract and the Article.
